Why This Seminar Matters

1. New governance rules are raising expectations
From August 2025, the UAE’s Decision 24/2025 requires companies that combine the Chair and CEO roles to have 75% independent directors, significantly increasing the need for qualified independent board members.

2. Boards are refreshing, and real openings are growing
The GCC has 5,535 listed board seats. With a typical 10–12% refresh rate, about 550–600 seats open each year. The region’s IPO pipeline adds 150–200 new board seats annually, bringing the total opportunity to ~700–800 board roles per year. Diversity is also rising, with the UAE now at 14.8% women directors (up from 10.8%).

3. IPO activity is creating new demand
The GCC recorded 53 IPOs in 2024 (USD 13.2 billion raised). In 2025 YTD (Q3), the region added ~USD 4.4 billion, largely driven by Saudi listings ,each requiring stronger governance, independent oversight, and specialised board capabilities.

4. UAE business growth is expanding board needs
By mid-2025, the UAE reached 1.3 million active business licenses, and Dubai issued ~19,000 new licenses in Q1 2025, creating a rapidly expanding corporate ecosystem that requires more robust boards.

5. Global capital is accelerating governance standards
FDI surged in 2024: the UAE attracted USD 45.6 billion (+48.7%), and Saudi Arabia recorded SAR 119 billion (~USD 31.7 billion). As foreign investors enter the region, companies must meet higher governance and disclosure benchmarks.

6. ESG and financial oversight are now mandatory skills
Saudi Arabia’s 2025 Companies Law and updated UAE regulations require independent-led audit/risk committees and financial expertise on boards. ADX and Tadawul have also strengthened ESG disclosure requirements, increasing the need for ESG-competent directors.
